i10X Subscriber Terms of Service

These Subscriber Terms of Service ("Subscriber Terms") apply to all paid subscriptions, plans, credits, bundles, or recurring paid access offered through i10X ("Subscription Services").

These Subscriber Terms supplement the i10X Terms of Service. If there is a conflict, these Subscriber Terms control for Subscription Services.


1. Subscription Services

A paid subscription may provide access to one or more of the following, depending on the plan you purchase:

  • usage credits;
  • access to premium or higher-cost models;
  • higher usage allowances;
  • faster responses or reduced queueing;
  • access to premium agents, workflows, or features; and
  • other benefits described at the time of purchase.

Credits, limits, and features may vary by plan and may reset at the start of each billing cycle unless otherwise stated.


2. Subscription Conditions

Your access to Subscription Services depends on:

  • timely payment of all applicable fees, taxes, and charges;
  • accurate and current billing information;
  • compliance with the Terms of Service, these Subscriber Terms, and the Usage Guidelines; and
  • use consistent with the intended purpose and scope of your plan.

You may not share, pool, rent, resell, sublicense, or otherwise provide your subscription to third parties unless expressly authorized by i10X in writing.


3. Billing and Renewal

Subscriptions may be offered on a monthly, annual, prepaid, usage-based, or other recurring basis.

Unless otherwise stated at purchase:

  • subscription fees are billed in advance;
  • subscriptions renew automatically at the end of each billing period; and
  • you authorize us and our payment processors to charge the payment method on file for renewal fees, taxes, and other amounts due.

You are responsible for keeping your payment information current.

If payment fails, we may retry charges, suspend benefits, downgrade your account, restrict access, or terminate your subscription.


4. Pricing, Plans, Models, and Feature Changes

We may change subscription pricing, credit allocations, usage allowances, available models, included features, technical limitations, fair use rules, and plan structures at any time.

Where required by applicable law, changes to recurring subscription pricing will take effect on your next renewal after any required notice period.

We may also:

  • add or remove supported models;
  • restrict certain high-cost models or tools;
  • convert features from unlimited to metered access;
  • impose new usage controls;
  • introduce credits, caps, or queues; and
  • replace or discontinue any feature or plan.

No subscription guarantees continued access to any specific model, provider, feature, speed, or throughput.


5. Fair Use for Paid Plans

All paid plans, including any plan described as "unlimited," are subject to fair use.

For subscription purposes, fair use means ordinary, reasonable, interactive use by the authorized account holder in a manner consistent with the intended consumer or business purpose of the purchased plan.

Fair use does not include:

  • automated or programmatic usage;
  • bot-driven usage;
  • human-mimicking automation;
  • batch processing;
  • background or unattended processing;
  • excessive or abnormal concurrency;
  • account sharing or pooled use;
  • use primarily intended to exploit plan economics;
  • resale, managed service, or white-label use;
  • using the subscription as an API substitute or backend for external systems; or
  • any use that materially increases our costs or degrades service for other users.

We may determine whether use is excessive, abnormal, abusive, or outside fair use based on system, behavioral, security, cost, fraud, or operational indicators.


6. Operational Controls for Subscription Services

To protect the Subscription Services and ensure fair access, we may apply technical and operational controls at any time, including:

  • cooldowns;
  • rate limits;
  • credit limits;
  • queueing;
  • slower processing;
  • model restrictions;
  • concurrency limits;
  • feature gating;
  • message caps;
  • identity or payment verification; and
  • temporary or permanent account restrictions.

These controls may be applied automatically and may differ by account, plan, risk level, geography, cost profile, payment history, or usage patterns.

Use of a paid plan does not guarantee any minimum speed, processing volume, or uninterrupted access.


7. Anti-Abuse and Anti-Circumvention

You may not:

  • create or use multiple accounts to bypass subscription restrictions, fair use rules, cooldowns, pricing, or refunds;
  • rotate devices, identities, emails, cards, IPs, or browsers to evade our controls;
  • use bots, scripts, browser automation, or Clawdbot / OpenClaw-like tools to consume paid usage;
  • subscribe, consume substantial value, and then seek refunds in bad faith;
  • attempt chargeback abuse or payment fraud; or
  • use the Subscription Services in a way that is abusive, deceptive, fraudulent, or commercially inconsistent with the purpose of the plan.

We may link accounts and payment methods that appear associated through common signals and may enforce these Subscriber Terms across related accounts.


8. Reclassification and Plan Migration

If your usage is excessive, abusive, operationally burdensome, commercially inconsistent with the intended plan, or more appropriate for a different pricing model, we may require you to:

  • upgrade to a higher tier;
  • move to a metered or usage-based plan;
  • enter an enterprise or custom agreement; or
  • reduce or modify your use as a condition of continued access.

9. Cancellations

You may cancel your subscription at any time through your account settings or other method we make available.

Unless otherwise required by law or expressly stated by i10X:

  • cancellation stops future renewals;
  • fees already paid are non-refundable; and
  • your subscription benefits continue until the end of the then-current billing period.

If cancellation occurs because we are required by law to offer immediate cancellation or pro-rated treatment in a specific market, we will follow the applicable legal requirement for that market.


10. Refund Policy

Except where required by law or expressly stated otherwise by i10X, subscription payments are non-refundable.

If i10X offers a refund, trial, guarantee, or grace-period policy, that policy is conditioned on compliance with these Terms and may be denied in cases of abuse, excessive usage, automation, circumvention, or fraud.

We may deny refunds, reverse credits or promotional benefits, and contest chargebacks where we reasonably suspect:

  • bot or programmatic use;
  • human-mimicking automation;
  • fair use abuse;
  • account sharing or pooling;
  • refund farming;
  • multiple-account evasion;
  • substantial consumption inconsistent with a claimed dissatisfaction basis; or
  • any other breach of these Terms.

If we suspend or terminate your account for violation of the Terms, you are not entitled to a refund except where required by law.


11. Taxes

You are responsible for applicable sales, value-added, goods and services, withholding, or similar taxes, except taxes based on i10X's net income.

Where required, we may collect taxes based on your billing location and applicable law.


12. Suspension and Termination of Subscription Services

We may suspend, limit, downgrade, or terminate your Subscription Services, with or without notice, if:

  • payment fails;
  • you violate the Terms, these Subscriber Terms, or the Usage Guidelines;
  • we detect or suspect abuse, automation, circumvention, fraud, or abnormal usage;
  • your use creates legal, security, provider, or cost risk; or
  • we discontinue the plan or feature.

We may also remove or reduce benefits, credits, or plan access where necessary to protect the Services or enforce these Terms.


13. Disclaimer and Limitation of Liability

Subscription Services are provided on an "as is" and "as available" basis to the fullest extent permitted by law.

To the fullest extent permitted by law, i10X's total aggregate liability for claims arising out of or relating to Subscription Services will not exceed the amount paid by you for the relevant Subscription Services in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Subscriber Terms excludes liability that cannot be excluded under applicable law.


14. Incorporation and Priority

These Subscriber Terms form part of the agreement between you and i10X regarding Subscription Services.

If there is a conflict between these Subscriber Terms and the Terms of Service, these Subscriber Terms govern for paid subscription matters.
