i10X Terms of Service

1. Welcome to i10X
These Terms of Service ("Terms") are a binding agreement between you and i10X Global Pte. Ltd. ("i10X," "we," "our," or "us") governing your access to and use of the i10X website, applications, platform, AI agents, models, tools, workflows, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" includes that entity.
2. Eligibility
You may use the Services only if:
- you can form a legally binding contract with i10X;
- you comply with these Terms and all applicable laws;
- you provide accurate and complete registration and payment information; and
- you are not barred from using the Services under applicable law.
If you are using the Services for a business, organization, or employer, you are responsible for ensuring that your users comply with these Terms.
3. Overview of the Services
i10X provides access to AI-powered tools, models, and agents, including technologies operated by third-party providers. Features, models, performance, availability, speed, limits, pricing, and supported use cases may change over time.
The Services may include so-called "unlimited" plans or access. Unlimited does not mean unrestricted, industrial, automated, shared, or abuse-tolerant use. All use remains subject to these Terms, our Subscriber Terms, our Usage Guidelines, our fair use rules, and our operational safeguards.
4. License
Subject to your compliance with these Terms, i10X grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal, lawful, and permitted purposes.
We reserve all rights not expressly granted.
5. Acceptable Use and Prohibited Conduct
You agree not to, and not to assist or enable others to:
- violate any law, regulation, or third-party right;
- infringe intellectual property, privacy, publicity, confidentiality, or other rights;
- reverse engineer, decompile, probe, scan, or attempt to discover source code, underlying models, prompts, system architecture, or security mechanisms, except where such restriction is prohibited by law;
- introduce malware, malicious code, denial-of-service attacks, or other harmful material;
- interfere with, disrupt, overburden, or degrade the Services;
- use the Services to build, benchmark, train, improve, or operate a competing product or service, except as expressly permitted in writing by i10X;
- scrape, extract, harvest, copy, index, mirror, or systematically collect data or outputs from the Services by automated or other means;
- bypass or circumvent any usage restriction, rate limit, security control, payment control, geographic restriction, account restriction, or fair use rule;
- create multiple accounts, rotate identities, payment methods, devices, browsers, or IPs, or use proxies, VPNs, browser automation, emulators, or similar techniques to evade controls;
- share, rent, sell, sublicense, pool, or otherwise allow unauthorized third parties to use your account or subscription;
- use the Services as a backend, proxy, throughput layer, or processing engine for another application, workflow, service, or business offering, unless expressly authorized by i10X in writing.
5.1 No Automated or Programmatic Use
You may not access or use the Services through bots, scripts, browser automation, robotic process automation, headless browsers, agent frameworks, API wrappers, device farms, human-mimicking automation, or any other method designed to automate activity, imitate human behavior, or generate usage not arising from direct, real-time interaction by an individual authorized user.
This prohibition includes, by way of example, Clawdbot / OpenClaw and similar services, whether third-party, self-hosted, custom-built, or embedded in another workflow.
For clarity, you may not:
- use a human-supervised automation setup to simulate normal user activity at scale;
- queue prompts or jobs for unattended execution;
- use i10X as an alternative to an API or batch-processing service;
- connect external tools that repeatedly drive the user interface automatically; or
- otherwise create usage patterns inconsistent with ordinary interactive use by a single authorized user.
5.2 Fair Use and Service Integrity
Where a plan is advertised as "unlimited," it means reasonable, ordinary, interactive use by an individual end user, subject to fair use and these Terms. It does not include:
- automated use;
- excessive or abusive use;
- bulk processing;
- background or unattended processing;
- high-volume commercial exploitation beyond the intended plan scope;
- account sharing or pooled use;
- resale or managed-service use; or
- any use that materially increases our costs, degrades the experience of other users, or circumvents intended plan economics.
We may determine, in our reasonable judgment, that usage is excessive or abusive based on behavioral, technical, operational, fraud, cost, or security indicators, including persistent near-continuous usage, abnormal concurrency, non-human interaction patterns, abnormal prompt throughput, repeated evasion attempts, or usage that appears designed to exploit plan economics.
6. User Content and Outputs
You may provide inputs, prompts, files, data, text, images, audio, code, or other materials to the Services ("Inputs"). The Services may generate responses, outputs, suggestions, code, summaries, or other materials ("Outputs").
As between you and i10X, and subject to applicable law and third-party provider terms:
- you retain your rights in your Inputs; and
- subject to your compliance with these Terms, we assign to you our rights, if any, in Outputs generated specifically for you.
You are solely responsible for:
- the legality, accuracy, and appropriateness of your Inputs;
- reviewing and validating Outputs before relying on them; and
- ensuring your use of Inputs and Outputs complies with applicable law and third-party rights.
You must not input sensitive personal data, regulated data, or confidential information unless you are authorized to do so and such use is permitted under our Privacy Policy and product settings.
7. Third-Party Services and Providers
The Services may rely on third-party model providers, hosting providers, payment processors, fraud vendors, and other service providers. Your use may be subject to restrictions or interruptions caused by these third parties.
We may pass through, enforce, or adapt restrictions required by third-party providers, including usage limits, blocked content categories, technical restrictions, or eligibility requirements.
We are not responsible for third-party products, services, outputs, policies, or downtime.
8. Operational Controls; Cooldowns; Throttling
To protect the Services, other users, third-party providers, and i10X, and to manage capacity, cost, abuse prevention, security, compliance, and service quality, we may at any time implement, modify, or enforce technical or operational controls.
These controls may include:
- rate limits;
- request caps;
- concurrency limits;
- session limits;
- queueing;
- cooldown periods;
- speed restrictions;
- token, message, or credit caps;
- model restrictions;
- feature restrictions;
- verification requirements;
- temporary holds;
- account reviews; and
- partial or full suspension of access.
These controls may vary by user, account, geography, payment history, risk profile, subscription tier, usage pattern, device, network, or other factors, and may be applied automatically and without prior notice.
We do not guarantee any specific throughput, latency, concurrency level, availability level, or uninterrupted access, including under any "unlimited" plan.
9. Account Security
You are responsible for all activity under your account and for maintaining the confidentiality of your credentials.
You must notify us promptly of any suspected unauthorized access, credential compromise, suspicious account activity, or security incident involving your account.
10. Monitoring and Enforcement
We may monitor use of the Services and use technical, behavioral, device, account, payment, network, and security signals to detect fraud, abuse, prohibited automation, circumvention, account sharing, and other violations.
We may use internal records, logs, device/browser fingerprints, session data, IP data, payment signals, anomaly detection tools, and reports from vendors or third parties to investigate and enforce these Terms.
If we determine, or reasonably suspect, that you violated these Terms, we may take any action we deem appropriate, including:
- warning you;
- restricting features or models;
- imposing cooldowns or throttling;
- requiring verification;
- removing content;
- denying refunds;
- reversing credits, promotions, or discounts;
- suspending or terminating accounts;
- blocking related accounts or identities; and
- taking legal action.
We may take immediate protective action without prior notice where necessary to prevent abuse, operational harm, legal exposure, fraud, or security risk.
11. Subscription Plans, Pricing, and Billing
Paid services are governed by our Subscriber Terms, which are incorporated into these Terms by reference.
Prices, plans, model access, feature sets, usage allowances, and plan descriptions may change from time to time as described in these Terms and the Subscriber Terms.
12. Changes to the Services and Terms
We may modify these Terms and the Services, including plans, pricing, features, models, usage allowances, technical limits, fair use rules, and operational restrictions, at any time to reflect changes in our business, technology, costs, legal obligations, security requirements, abuse-prevention needs, third-party provider requirements, or product offerings.
Unless a shorter period is necessary for security, fraud prevention, abuse prevention, technical protection, or legal compliance, changes become effective when posted or on the date stated in the notice, as permitted by applicable law.
By continuing to use the Services after the effective date, you agree to the updated Terms. If you do not agree, you must stop using the Services and cancel any paid subscription before the change takes effect.
To the extent required by applicable law, material changes will apply prospectively and will not retroactively affect rights that accrued before the effective date.
13. Suspension and Termination
You may stop using the Services at any time.
We may suspend, restrict, or terminate your access to the Services, in whole or in part, with or without notice, at our discretion, if:
- you violate these Terms, the Subscriber Terms, or the Usage Guidelines;
- we suspect fraud, abuse, automation, circumvention, or unauthorized use;
- your use creates legal, operational, security, reputational, or cost risk for i10X, our providers, or other users;
- we are required to do so by law or by a third-party provider; or
- we discontinue the relevant Service or feature.
We may also require that you migrate to a different plan, usage-based arrangement, enterprise agreement, or custom pricing model as a condition of continued access where your usage is excessive, abusive, non-standard, or commercially inconsistent with the intended plan scope.
Sections that by their nature should survive termination will survive termination.
14. Privacy
We collect and process personal data as described in our Privacy Policy.
You acknowledge that operation of the Services may require processing by third-party providers and service providers, including providers located in other jurisdictions.
15. Disclaimers
The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law.
We do not guarantee that the Services, Outputs, models, or third-party tools will be accurate, complete, reliable, uninterrupted, secure, or error-free.
AI-generated content may be incorrect, incomplete, biased, outdated, offensive, or unsuitable for your intended use. You are responsible for evaluating Outputs before relying on them.
16. Limitation of Liability
To the fullest extent permitted by law, i10X and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or opportunity, arising out of or relating to the Services or these Terms.
To the fullest extent permitted by law, the total aggregate liability of i10X for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:
- the amount you paid to i10X in the twelve (12) months before the event giving rise to the claim; or
- USD 100 if you have not paid i10X anything during that period.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
17. Indemnity
To the fullest extent permitted by law, you will indemnify, defend, and hold harmless i10X and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses arising out of or related to:
- your use of the Services;
- your Inputs or content;
- your Outputs or your use of Outputs;
- your violation of these Terms; or
- your violation of any law or third-party right.
18. Governing Law and Disputes
These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules.
The courts of Singapore will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, except where applicable law requires otherwise.
19. General
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
Our failure to enforce any provision is not a waiver.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate restructuring, or sale of assets.
These Terms, together with the Subscriber Terms, Usage Guidelines, Privacy Policy, and any plan-specific terms expressly incorporated by reference, form the entire agreement between you and i10X regarding the Services.
